Scope of these terms
These terms apply to the website, forms, demo requests, system reviews, consulting, AI architecture planning, setup work, launch work, automations, managed platform access, monthly services, support, and any related idearyAI offer unless a signed proposal, order form, checkout page, or written agreement says otherwise.
Business use
idearyAI is designed for business use by professional services, contractors, solo business owners, coaches, consultants, nonprofits, and small teams. By using this website or purchasing a service, you confirm that the information you provide is accurate and that you have authority to act for the business or organization you represent.
Website use
You may use this website to learn about idearyAI, request a system review, book a demo, contact Ideary Works LLC, and purchase or inquire about services. You may not misuse the website, interfere with its operation, attempt unauthorized access, submit harmful content, or use the website for unlawful purposes.
Consulting and AI architecture
Consulting services may include AI readiness review, tool and subscription review, lead-flow analysis, workflow recommendations, AI architecture planning, automation planning, knowledge-base planning, prompt or assistant guidance, and practical recommendations for using AI in the business. Consulting is advisory and implementation depends on the selected package or written agreement.
idearyAI platform
idearyAI is a managed business system for lead capture, follow-up, booking, customer communication, automation, reporting, review follow-up, and owner visibility. It may include platform access, configured workflows, forms, calendars, pipelines, messages, AI-assisted replies, customer records, and connected tools depending on the package purchased.
Setup and launch work
A one-time launch fee covers the initial briefing, AI architecture planning, configuration, first workflow setup, knowledge-base preparation, automation setup, message drafting, testing, handoff, and launch support described in the selected package or written agreement. Additional setup, migration, copywriting, custom integrations, advanced automations, extra workflows, or unusual technical work may require a separate fee.
Monthly managed service
A monthly idearyAI fee keeps the selected system active, monitored, maintained, and improved according to the package or written agreement. Monthly service may include platform access, workflow monitoring, message adjustments, reporting review, automation updates, support, and practical improvements. The exact features depend on the package, checkout, proposal, or written agreement.
Automatic renewal and continuous service
If you purchase a monthly or recurring idearyAI plan, the service continues and renews automatically for the billing period shown at purchase unless you cancel. Before payment, the checkout, proposal, or order form should state the price, billing frequency, renewal period, what is included, and how to cancel. By purchasing, you authorize recurring charges according to those disclosed terms.
Cancellation
Cancellation instructions will be provided in the checkout, proposal, order confirmation, or written agreement. Unless a different cancellation method is stated there, you may request cancellation by contacting Ideary Works LLC by phone at (626) 414-4558 or through the contact method used for your service. If you enrolled online, an online or electronic cancellation method should be available where required by law. Cancellation stops future recurring charges but does not automatically refund completed setup work, work already performed, usage charges, pass-through costs, or the current billing period unless the written offer says otherwise.
Fees, payments, and taxes
Prices are shown in U.S. dollars unless stated otherwise. You agree to pay the one-time launch fees, monthly fees, add-ons, usage charges, pass-through costs, payment processing fees, taxes, and other charges disclosed in the checkout, proposal, invoice, or written agreement. Late or failed payments may cause delays, suspension, or termination of service.
Refunds
Unless a checkout, proposal, or written agreement says otherwise, one-time launch fees are not refundable once planning, configuration, design, consulting, or setup work has started. Monthly fees are generally not refundable for the current billing period after access, support, monitoring, or service has been provided.
Customer responsibilities
You are responsible for providing accurate business information, reviewing offers and messages, approving workflows, maintaining lawful marketing claims, obtaining required customer consent, maintaining your own privacy notices, following industry rules, paying fees, and reviewing AI-assisted content before relying on it where human judgment is required.
Customer content and access
You may need to provide access to websites, calendars, forms, email, phone numbers, customer records, lead sources, payment tools, or other business systems. You confirm that you have the right to provide that access and that the information you provide does not violate another person's rights or applicable law.
AI-assisted content
idearyAI may create or suggest replies, summaries, follow-up messages, routing decisions, reminders, and other content. AI output can be incomplete, outdated, incorrect, or unsuitable for a specific situation. You are responsible for reviewing important AI-assisted content and for deciding when a human should respond.
No professional legal, financial, or medical advice
Consulting and idearyAI services may help organize business workflows and communication, but they do not provide legal, tax, accounting, financial, medical, employment, insurance, or other regulated professional advice. You should consult qualified professionals for those matters.
Compliance and consent
You are responsible for your own compliance with laws and platform rules that apply to your business, including marketing, SMS, email, call recording, privacy, accessibility, advertising, professional licensing, consumer protection, and industry-specific rules. We may provide templates or configuration support, but you remain responsible for lawful use.
Third-party platforms and tools
idearyAI may rely on third-party infrastructure and tools for hosting, CRM, calendars, forms, messaging, phone, email, payments, analytics, automation, AI processing, reviews, integrations, and support. Those third parties may change features, pricing, availability, limits, or terms. Ideary Works LLC is not responsible for third-party outages, account restrictions, policy changes, billing changes, or data loss outside its reasonable control.
Customer-owned accounts
Some services may use accounts, domains, phone numbers, calendars, payment processors, email addresses, or tools owned or controlled by you. You are responsible for keeping those accounts active, secure, paid, and compliant with provider rules. Loss of access to those accounts may affect idearyAI performance.
Service changes
We may improve, modify, replace, limit, or discontinue parts of the website, consulting process, platform configuration, automations, messages, features, or service delivery when reasonably needed for security, reliability, legal compliance, provider changes, or better performance. Material changes to recurring service terms or fees will be communicated where required by law or by the written agreement.
Availability and support
We try to keep idearyAI useful and available, but no platform, automation, AI provider, email tool, phone system, website, or integration can be guaranteed to work without interruption. Support response times, monitoring, and maintenance depend on the selected package or written agreement.
No guaranteed results
Examples, reviews, use cases, pricing comparisons, savings estimates, missed-lead examples, and revenue examples are for illustration and planning only. Ideary Works LLC does not guarantee revenue, bookings, rankings, reviews, customer outcomes, AI accuracy, cost savings, or specific business results.
Intellectual property
Ideary Works LLC keeps ownership of its pre-existing methods, templates, prompts, workflows, configuration patterns, designs, documentation, code, strategy, and know-how. You keep ownership of your business content, brand assets, customer information, and materials you provide. Unless otherwise agreed, you receive a limited right to use the delivered configuration and materials for your own business while your account and applicable services remain active.
Confidentiality
Both sides may receive non-public business information during consulting, setup, or service delivery. Each side agrees to use reasonable care to protect confidential information and to use it only for the purpose of providing or receiving the services, unless disclosure is required by law or authorized in writing.
Termination or suspension
We may suspend or terminate access if payment fails, required access is removed, a third-party account is suspended, the service is misused, unlawful content is submitted, provider rules are violated, or continued service would create legal, security, operational, or reputational risk. Termination does not remove payment obligations for completed work, active billing periods, pass-through charges, or agreed commitments.
Limitation of liability
To the fullest extent permitted by law, Ideary Works LLC is not liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from website use, consulting, platform use, third-party services, automations, AI outputs, data issues, business decisions, or service interruptions. If liability cannot be excluded, it is limited to the amount you paid to Ideary Works LLC for the affected service during the three months before the event giving rise to the claim.
Indemnification
You agree to defend and hold Ideary Works LLC harmless from claims, damages, costs, and expenses arising from your business content, customer communications, unlawful marketing, missing consent, customer disputes, industry violations, misuse of the service, or breach of these terms.
Governing law
These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Venue for disputes will be in the state or federal courts located in Los Angeles County, California, unless applicable law requires a different venue.
Updates to these terms
We may update these Terms & Conditions as the website, services, platform, pricing, legal requirements, or business practices change. The updated date above shows when these terms were last revised.
